Nestlé Professional Solutions’ Convos Over Coffee mate Sweepstakes Official Rules
NO PURCHASE OR PAYMENT NECESSARY. A PURCHASE WILL NOT IMPROVE YOUR CHANCES OF WINNING. BY PARTICIPATING, EACH ENTRANT AGREES TO THESE OFFICIAL RULES.

Eligibility: Nestlé Professional Solutions’ Convos Over Coffee mate Sweepstakes (“Sweepstakes”) is open to current employees in good standing, who work at a business within Nestle’s Professional Solutions distributor network, who are located in the 50 United States and District of Columbia and are 18 years of age or older (or 19 years of age or older for residents of AL and NE) (“Entrant”). To be eligible to participate, Entrant’s company must have a minimum of twenty-five (25) employees assigned to its location (hybrid work environments are included) (each, an “Eligible Location”). This Sweepstakes is not open to the general public. Employees of Sponsor, Administrator, including their subsidiaries, affiliates, parent or related companies (collectively, the “Sweepstakes Entities”), and their immediate families, are not eligible to enter. The Sweepstakes is subject to all applicable federal, state, and local laws and regulations. Participation constitutes Entrant's full and unconditional agreement to these Official Rules and Sponsor's decisions, which are final and binding in all matters related to the Sweepstakes. Winning a prize is contingent upon fulfilling all requirements set forth herein.
Sweepstakes Period: The Sweepstakes begins at 12:00:00 Eastern Time (“ET”) on July 1, 2025, and ends at 11:59:59 PM ET on September 30, 2025 (the "Sweepstakes Period").
How to Enter the Sweepstakes: To enter the Sweepstakes, during the Sweepstakes Period, Entrants must visit https://www.nestleprofessional.us/convos-over-coffee-mate (“Website”) to find, complete and submit the official entry form, including but not limited to providing the Eligible Location’s name, address, segment and distributor. Upon submission of the completed entry form, the Eligible Location of the Entrant will receive one (1) entry into the Grand Prize Drawing as described below (each a “Grand Prize Entry”), and the Entrant will receive one (1) entry into the first prize and second prize random drawings as described below (each a “First and Second Prize Entry”). Limit one (1) First and Second Prize Entry per Entrant/per day. All Grand Prize Entries and all First and Second Prize Entries must be submitted by 11:59:59 PM ET on September 30, 2025, to be eligible for the random drawings. PLEASE NOTE: There is a limit of ten (10) Grand Prize Entries per Eligible Location, regardless of the number of First and Second Prize Entries that are received from the Eligible Location. In the event more than ten (10) Grand Prize Entries are received from any single Eligible Location, only the first ten (10) Grand Prize Entries will be included in the Grand Prize random drawing.
Random Drawings: On or about October 2, 2025, Administrator will conduct a random drawing to select two (2) potential Grand Prize winners from among all eligible Grand Prize Entries received during the Sweepstakes Period. Odds of winning a Grand Prize depend on the number of eligible Grand Prize Entries received during the Sweepstakes Period. On or about October 2, 2025, Administrator will conduct a random drawing to select fifty (50) First Prize winners and one hundred (100) Second Prize winners from among all eligible First and Second Prize Entries received during the Sweepstakes Period. Each potential winner will be notified by Administrator or Sponsor on or about the day of the random drawings via email or telephone. Potential winners will have forty-eight (48) hours to respond to the winner notification message. Failure of a potential winner to respond to the winner notification email or telephone message by within forty-eight (48) hours, or a return of message notification as undeliverable after three (3) attempts, will result in disqualification and forfeiture of the prize, and an alternate potential winner may be selected, time permitting. Odds of winning a Grand Prize depend on the number of eligible Grand Prize Entries received during the Sweepstakes Period. Odds of winning a First Prize or a Second Prize depend on the number of eligible and First and Second Prize Entries received during the Sweepstakes Period.
THE POTENTIAL WINNERS ARE SUBJECT TO VERIFICATION BY ADMINISTRATOR AND SPONSOR’S DECISIONS ARE FINAL AND BINDING IN ALL MATTERS RELATED TO THE SWEEPSTAKES. LIMIT ONE (1) GRAND PRIZE WINNER PER ELIGIBLE LOCATION. Limit one (1) First Prize or Second Prize per person.
PRIZES AND APPROXIMATE RETAIL VALUES (“ARVs”). Two (2) Grand Prizes – Option 1: Custom Coffee mate 2 Person Quiet Huddle Office Meeting Pod; Custom Coffee mate Rug, and four (4) Custom Coffee mate Pillows. ARV: $12,248.00. OR Option 2: two (2) Luxury Chairs, Coffee Table, Custom Coffee mate Rug, and four (4) Custom Coffee mate Pillows. ARV: $2,458.00. Please note for the Grand Prizes only, the Grand Prizes will be awarded to the Grand Prize winners’ employer/business ("Winning Business") and NOT to the Grand Prize winner. The Winning Businesses will each be required to agree to receive a Grand Prize and are responsible for all federal, state and local taxes associated with the Grand Prize. To help offset the tax liability associated with accepting a Grand Prize, the Sponsor will provide an additional payment of $4,800 to the Winning Business of Grand Prize Option 1 and $980 to the Winning Business of Grand Prize Option 2, which are intended to assist the Winning Businesses with federal (and, if applicable, state) income taxes, based on an estimated approximate 40% tax rate. These additional payments will be issued with each Grand Prize and are subject to applicable tax reporting. The total value of each Grand Prize, including the tax gross-up, will be reported to the IRS. The Winning Businesses are each solely responsible for any additional taxes and filing obligations. Sponsor recommends consulting a tax professional. Each Winning Business will also be required to sign, complete and submit a Liability/Publicity Release (“Release”). The first Grand Prize winner selected will choose which of the two Grand Prizes the Winning Business at which the Grand Prize winner is employed will receive. The Winning Business which employees the second Grand Prize winner, will receive the remaining Grand Prize by default.
Fifty (50) First Prizes - Custom Coffee mate Branded Portable Charger. $33.79 each.
One hundred (100) Second Prizes – Four (4) 50ct. Boxes Liquid Coffee Creamer Singles (flavor to be determined by Sponsor in its sole discretion). ARV: $23.10 each.
Total ARV of all prizes is $18,705.50.
Prize Restrictions and Limitations: All Grand Prizes, First Prizes and Second Prizes (collectively, “Prizes”) will be awarded provided they are validly claimed by October 31, 2025, after which no alternate potential winners will be selected, nor unclaimed Prizes awarded. No more than the stated number of Prizes will be awarded. Prizes cannot be used in conjunction with any other promotion or offer. Prizes consist of only the items specifically listed as the applicable Prize. Prizes are subject to availability, non-transferable, non-negotiable, not redeemable for cash, non-refundable and no substitution will be made except as provided herein at the Sponsor's sole discretion. Sponsor reserves the right to substitute any Prize or Prize component for one of equal or greater value for any reason. No substitutions, exchanges or transfers of prizes, except as provided herein. All taxes (including, without limitation, state and federal income taxes) and the reporting consequences thereof associated with the use and acceptance of any Prize are solely the responsibility of each winner and/or each Winning Business. All Prizes in connection with the Sweepstakes are provided “as is” without warranty of any kind, either express or implied, and Sponsor hereby disclaims all such warranties, including but not limited to, the implied warranties of merchantability, fitness for a particular purpose and/or non-infringement. Allow 6-8 weeks for delivery of Prizes.
Publicity Grant: By submitting an Entry, each entrant agrees to allow use of their name, username, likeness, city and state of residence, and/or biographical information for promotional purposes (including posting on Sponsor’s website), in any and all media, now or hereafter known, worldwide in perpetuity, without additional compensation or notification to, or permission from, entrant, except where prohibited.
Entry Conditions and Release: Released Parties (as defined below) are not responsible for lost, late, incomplete, inaccurate, stolen, misdirected, undelivered or garbled entries, emails, or other communications of any kind; or for lost, interrupted or unavailable network, server, Internet Service Provider (ISP), website, or other connections, availability or accessibility or miscommunications or failed computer, satellite, telephone or cable transmissions, lines, or technical failure or jumbled, scrambled, delayed, or misdirected transmissions or computer hardware or software malfunctions, failures or difficulties, or other errors or difficulties of any kind whether human, mechanical, electronic, computer, network, typographical, printing or otherwise relating to or in connection with the Sweepstakes, including, without limitation, errors or difficulties which may occur in connection with the administration of the sweepstakes, the processing of Entries, the announcement of the prizes or in any Sweepstakes-related materials. Released Parties are also not responsible for any incorrect or inaccurate information, whether caused by site users, tampering, hacking, or by any equipment or programming associated with or utilized in the Sweepstakes. Released Parties are not responsible for injury or damage to any person's computer or other device related to or resulting from participating in this Sweepstakes. Persons who tamper with or abuse any aspect of the Sweepstakes or who are in violation of these Official Rules, as determined by Sponsor and Administrator, will be disqualified and all associated Entries will be void. Sponsor reserves the right at its sole discretion to suspend, modify or terminate the Sweepstakes at any time and for any reason, including, but not limited to, should any portion of the Sweepstakes be, in Sponsor’s sole opinion, compromised by virus, worms, bugs, non-authorized human intervention or other causes which, in the sole opinion of the Sponsor, corrupt or impair the administration, security, fairness or proper play, or submission of Entries, and, if terminated, at its discretion, select the potential winners from among all non-suspect, eligible Entries received up to time of cancellation or as otherwise deemed fair and appropriate by Sponsor. Entrants, by participating, agree that Sweepstakes Entities, and their respective parent, affiliates, subsidiaries, prize suppliers, and advertising and promotion agencies, and all of their respective officers, directors, employees, representatives and agents (collectively, “Released Parties”) will have no liability whatsoever for, and shall be held harmless by entrants against, any liability, for any injuries, losses or damages of any kind, including death, to persons, or property resulting in whole or in part, directly or indirectly, from acceptance, possession, misuse or use of any prize or participation in this Sweepstakes. In the event of a dispute as to any Entry, the Authorized Account Holder of the email address used to register for Entry will be deemed to be the entrant and must comply with these Official Rules. The “Authorized Account Holder” is the natural person who is assigned an account by the Internet access provider, online service provider, or other organization responsible for assigning such accounts or the account associated with the submitted email address. The potential winners may be required to show proof of being the Authorized Account Holder.

Governing Law and Venue: These Official Rules are governed by US law and are subject to all applicable federal, state and local laws and regulations. Any dispute arising from these Official Rules and the Sweepstakes will be governed by and construed and enforced in accordance with the laws of Delaware except to the extent preempted by U.S. federal law, without regard to conflict of law rules or principles (whether of Delaware or any other jurisdiction) that would cause the application of the laws of any other jurisdiction.
DISPUTE RESOLUTION: PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO FILE A LAWSUIT IN COURT. THESE TERMS INCLUDE A CLASS ACTION WAIVER, A JURY TRIAL WAIVER, AND A BINDING INDIVIDUAL ARBITRATION AGREEMENT TO RESOLVE DISPUTES. IN ARBITRATION THERE IS LESS DISCOVERY AND APPELLATE REVIEW THAN IN COURT. FOR CLARITY, PARTICIPATION IN THE SWEEPSTAKES IS SUBJECT TO, AND YOU AGREE TO, THE LIMITATIONS OF LIABILITY, RELEASES, OBLIGATIONS, DISPUTE RESOLUTION PROCEDURE, AND OTHER TERMS SET FORTH IN THESE OFFICIAL RULES AND IN THE “DISPUTE RESOLUTION” SECTION OF THE NESTLÉ USA TERMS & CONDITIONS. THE DISPUTE RESOLUTION SECTION OF THE NESTLÉ USA TERMS & CONDITIONS IS INCORPORATED HEREIN BY REFERENCE AND APPLIES TO DISPUTES, CLAIMS, OR ANY OTHER RELEVANT ASPECT ARISING FROM THE SWEEPSTAKES OR THESE OFFICIAL RULES.
